(the “Company”) in making presentations to certain existing and potential stockholders of the Company, including with respect to the proposed business combination between Tempus Applied Solutions, LLC (“Tempus”) and the Company (the “Business Combination”) pursuant to the terms of that certain Agreement and Plan of Merger (the “Merger Agreement”), dated January 5, 2015.
