On August 27, 2014 Lifeway Foods, Inc. (the "Company") was informed by Gustavo Carlos Valle that he is resigning as a member of the Board of Directors of the Company effective as of the appointment of a new Stockholder Nominee (as defined in that certain Stockholders’ Agreement among the Company, Danone Foods, Inc. (“Danone”), Michael Smolyansky and the other stockholders listed on the signature pages thereto, dated October 1, 1999, as amended) named by Danone.
