On February 9, 2015, Wilshire Bancorp, Inc. (the “Company”) issued a press release announcing the purchase of certain assets and the partial assumption of operations of Bank of Manhattan’s Mortgage Lending Division. Consummation of the transaction is subject to the satisfaction of general closing conditions. The transaction is expected to close on February 27, 2015.

A copy of the press release is attached as Exhibit 99.1 hereto and incorporated by reference into this Item 8.01.
