Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

Effective February 6, 2015, Errol de Montille resigned from the Board of Directors as director.  Mr. de Montille resigned for personal reasons, and there are no disagreements between Mr. de Montille and the Company. 

Micah J Eldred, CEO, commented, “we wish to thank Errol for his service to the Company during the past few years, and regret that he will not be able to serve in 2015 for personal reasons.  We will continue to use Mr de Montille’s services on an as-needed consultancy basis from time-to-time in the future.”
