Item 7.01 Regulation FD Disclosure.
On February 9, 2015, The Ensign Group, Inc. (the “Company”), announced that it has commenced an underwritten public offering of 2,500,000 shares of common stock. The underwriters are expected to be granted a 30-day option to purchase up to an additional 375,000 shares of common stock. A copy of the press release announcing the underwritten public offering is attached hereto as Exhibit 99.1.
