Item 8.01 Other Events.
On February 6, 2015, the Board of Directors of Western Refining, Inc. (“Western” or the “Company”) approved a cash dividend of $0.30 per share of common stock for the first quarter of 2015. The dividend will be paid on March 6, 2015, to shareholders of record at the close of market on February 20, 2015. On February 6, 2015, the Company issued a press release announcing this cash dividend. A copy of this press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
