Item 8.01. Other Events.

In a press release issued on February 3, 2015, President James M. Gasior announced that the Board of Directors of Cortland Bancorp (the “Company”) has declared a dividend of $0.06. The dividend is payable on or after March 3, 2015 to shareholders of record as of February 17, 2015. The press release is included as Exhibit 99.1 to this current report on Form 8K.
