Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On January 28, 2015, Douglas P. Boyd, Ph.D. resigned from the board of directors of the Company effective immediately. As a result, Dr. Boyd also ceased immediately to be the chairman of the Company’s Compensation Committee and a member of the Company’s Audit Committee and Corporate Governance and Nominating Committee. Dr. Boyd’s resignation was voluntary.
