2015 Base Salary and Incentive Compensation Target

On January 29, 2015, the Compensation Committee of the Board of Directors (the “Committee”) of Trulia, Inc. (the “Company”) approved annual base salary increases and 2015 incentive compensation targets for our named executive officers, effective January 27, 2015, as set forth in the chart below. In making these adjustments, the Committee considered certain subjective factors related to our compensation philosophy and objectives, the peer group benchmarking analysis performed by our compensation consultant, internal compensation parity, as well as the contributions expected from, and, responsibilities of each named executive officer. The following table sets forth information regarding the base salary approved for 2015 along with the annual incentive compensation target for each named executive officer.
