Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
| (a) | Effective January 30, 2015, the Board of Directors of IBERIABANK Corporation (the “Company”) made a clarifying amendment to the Company’s Articles of Incorporation to delete references to its former Fixed Rate Cumulative Perpetual Preferred Stock, Series A, which the Company had previously redeemed and cancelled. |
A copy of the Articles of Incorporation, as amended, are attached hereto as Exhibit 3.1 to this Current Report on Form 8-K.
