Item 8.01 Other Information

On January 30, 2015, the initial registration statement offering up to $3 billion in shares of common stock of CNL Healthcare Properties, Inc. (the “Company”) dated as of April 18, 2014 was terminated.

On February 2, 2015, the Securities and Exchange Commission declared effective the Company’s follow-on registration statement dated February 2, 2015 offering up to a maximum of $1 billion in shares of the Company’s common stock at a public offering price of $10.58 per share (the “Follow-On Registration Statement”). The Follow-On Registration Statement is expected to terminate on or around December 31, 2015 unless extended by the Company’s board of directors.

A copy of the Company’s February 2, 2015 press release announcing the termination of the Company’s initial registration statement and the effectiveness of its Follow-On Registration Statement is filed herewith as Exhibit 99.1.
