| (b) | On January 28, 2015, Thomas J. Edelman advised the Board of Directors of Emerald Oil, Inc. (the “Company”) that he would be resigning from his position as a member on the Company’s Board of Directors, effective as of January 28, 2015. |
| (d) | The Company is pleased to announce that the Board has appointed Ben Guill to serve on the Board of Directors, effective as of January 28, 2015. Mr. Guill will be entitled to compensation as a member of the Board that is consistent with the compensation that is provided to other members of the Board. The Board has not yet determined which committees, if any, Mr. Guill will be appointed to. |
Mr. Guill is a Managing Partner of White Deer Energy, a middle market private equity fund focused on energy investments. White Deer Energy and its affiliates are currently the holders of 16.4% of the Company’s issued and outstanding common stock on a fully diluted basis.
