On January 28, 2015, Astoria Financial Corporation (the “Company”) issued a press release which, among other things, highlights the Company’s financial results for the fourth quarter and full year 2014 ended December 31, 2014. A copy of the press release is furnished herewith as an exhibit to this report.

Astoria further announced in its press release dated January 28, 2015 that the Board of Directors, at their January 26, 2015 meeting, declared a quarterly cash dividend of $0.04 per share. The cash dividend is payable on March 2, 2015 to shareholders of record as of February 17, 2015. A copy of the press release is furnished herewith as an exhibit to this report.
