Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
Hamilton Bancorp, Inc. (the “Company”) announced today that on January 20, 2015, Joseph J. Bouffard was appointed as a director of the Company and its subsidiary, Hamilton Bank. Mr. Bouffard, age 65, served as President and Chief Executive Officer of BCSB Bancorp, Inc. and its wholly owned subsidiary, Baltimore County Savings Bank, from 2006 until his retirement in February 2014. Prior to his service with BCSB Bancorp, Inc., Mr. Bouffard was President and Chief Executive Officer of Patapsco Bancorp, Inc. and The Patapsco Bank. The Company’s Board of Directors has not determined which, if any, board committees Mr. Bouffard will serve on. A copy of the Company’s press release announcing Mr. Bouffard’s appointment is included as Exhibit 99.1 to this report and incorporated herein.
