Over the course of December 30, 2014 through January 14, 2015, we issued a total of 457,177,132 shares of our common stock for the partial conversion of various convertible notes. The issuances were exempt from registration pursuant to Rule 506 under Regulation D, the investors are sophisticated and familiar with our operations, and there was no solicitation in connection with the issuances.
