On January 20, 2015, Valmie Resources, Inc. (“VMRI”) entered into a letter of intent to acquire 100% of the capital stock of Vertitek Inc. (“Vertitek”), a Wyoming corporation (the “LOI”). Vertitek is an emerging developer of hardware systems and platforms for use in the semi-autonomous unmanned vehicles industry. Per the terms of the LOI, VMRI shall have 60 days to complete its due diligence on Vertitek and negotiate the terms of a definitive acquisition agreement. During the 60-day due diligence period, VMRI shall provide financing to Vertitek in the maximum amount of $150,000 by way of a line of credit and shall have the exclusive right to market Vertitek’s technologies and industry solutions.
