Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On January 16, 2015, Volt Information Sciences, Inc. (the “Company”) announced the planned departure of Senior Vice President and Chief Financial Officer James Whitney Mayhew. Mr. Mayhew will leave the Company after a 60-day transition period ending March 20, 2015. The Company will initiate a formal search for his successor.
In connection with this announcement, Mr. Mayhew has entered into a Separation Agreement and General Release (the “Separation Agreement”) with the Company. The complete text of the Separation Agreement is filed as Exhibit 10.1 hereto and incorporated herein by reference.
A copy of the press release is furnished herewith as Exhibit 99.1 and is incorporated by reference herein in its entirety.
