Item 8.01  Other Events.
On January 20, 2015, Spectrum Brands Holdings, Inc. (the “Company”) announced that the Company has acquired Salix Animal Health, LLC, the world’s leading and largest vertically integrated producer and distributor of premium, natural rawhide dog chews, treats, and snacks with annual revenues of approximately $100 million.

In connection with the acquisition, the Company issued a press release, a copy of which is attached hereto as Exhibit 99.1 and incorporated by reference herein.
