Effective January 18, 2014, World Moto, Inc., a Nevada corporation (the “Company”) increased the total number of its authorized shares of common stock from 500,000,000 to 1,000,000,000 through the filing of a Certificate of Amendment to the Company’s Articles of Incorporation to (the “Certificate of Amendment”). As disclosed in the Company’s Schedule 14C Information Statement filed with the Securities and Exchange Commission on December 29, 2014, on December 17, 2014, the board of directors of the Company and shareholders holding an aggregate of 212,060,126 shares, or approximately 53.93% of the Company’s common stock, took action by written consent for the purpose of approving the Certificate of Amendment.
A copy of the Certificate of Amendment is filed herewith as Exhibit 3.1 and is incorporated herein by reference.
