Item 2.02 Results of Operations and Financial Condition.
On January 20, 2015, Rex Energy Corporation (the “Company”) issued a press release providing an update on its core operations, production, hedging, and liquidity. The release is attached to this Current Report on Form 8-K as Exhibit 99.1

On January 20, 2015, the Company issued the press release discussed above in Item 2.02. The release is attached to this Current Report on Form 8-K as Exhibit 99.1. The Company also made available on its website the “Rex Energy Corporate Presentation January 2015.” The presentation can be accessed by going to www.rexenergy.com, selecting the “Investor Relations” tab, and then selecting the “Events & Presentations” tab. The presentation will be available on the Company’s website until the next regular update.
