Item 3.02 Unregistered Sales of Equity Securities
Reference is made to the Current Report on Form 8-K filed by AudioEye, Inc. (the Company) on January 7, 2016 relating to the sale by the Company of an aggregate of 6,687,500 units to eleven accredited investors for gross proceeds of $2,675,000 in a private placement (the Private Placement). On January 15, 2015, the Company sold additional 812,500 units under the Private Placement to one institutional investor for gross proceeds of $325,000 with no commission payable. Accordingly, as a result of the placement of the additional units, the Private Placement consisted of 7,500,000 shares of the Companys common stock and warrants (the Warrants) to purchase an additional 3,172,501 shares of common stock, which included Warrants to purchase 360,000 shares of the Companys Common Stock issued to a placement agent.
The securities issued in the Private Placement were not registered under the Securities Act of 1933, as amended (the Act) in reliance upon the exemption from registration contained in Section 4(2) of the Act and Regulation D promulgated under the Act. The securities may not be offered or sold in the United States by the holder in the absence of an effective registration statement or exemption from the registration requirements of the Act. The Company intends to use the proceeds from the Private Placement for general corporate purposes.
