(b) Effective January 12, 2015, Grant E. Sims resigned from the Board of Directors of Texas Capital Bancshares, Inc. (the “Company”) and the Board of Directors of Texas Capital Bank, N.A. (the “Bank”). There were no disagreements with the Company or the Bank related to the resignation.
