Item 3.02. Unregistered Sales of Equity Securities.

On January 12, 2015, Medtronic Limited (f/k/a Medtronic Holdings Limited) (the “Company”) allotted 39,993 Euro Deferred Shares, €1.00 par value per share, to the current shareholders of the Company for aggregate cash consideration of €39,993.00.

The Euro Deferred Shares were allotted solely to sophisticated investors in a private placement in reliance upon an exemption from registration under the Securities Act of 1933, as amended, pursuant to Section 4(a)(2) thereof.

Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 9, 2015, Robert ten Hoedt resigned from the Board of Directors of the Company. Mr. ten Hoedt’s resignation was not the result of any disagreement with the Company on any matter relating to its operations, policies or practices.

Also on January 9, 2015, the shareholders of the Company, by written resolution, appointed Gerard Kilcommins, an employee of Medtronic, Inc., to serve as a director of the Company. Mr. Kilcommins will receive no compensation for his services as a director of the Company separate and apart from his compensation as an employee of Medtronic, Inc. Mr. Kilcommins’ service as a director is expected to terminate prior to the consummation of the previously announced acquisition of Covidien plc by the Company. Neither Mr. Kilcommins nor any of his immediate family has been a party to any transaction or currently proposed transaction with the Company that is reportable under Item 404(a) of Regulation S-K.
