On January 9, 2015, Village Bank and Trust Financial Corp. (the “Company”) issued a press release announcing that a record date of 5:00 p.m. Eastern Standard Time on January 20, 2015 has been set for its previously announced rights offering (the “Rights Offering”). A copy of the press release is attached to this Current Report on Form 8-K as Exhibit 99.1 and is incorporated by reference herein.
A registration statement (the “Registration Statement”) relating to the Rights Offering has been filed with the Securities and Exchange Commission but has not yet become effective. The information in the Registration Statement is not complete and may be changed. The Company’s securities may not be sold nor may offers to buy be accepted prior to the time the Registration Statement becomes effective. This Current Report on Form 8-K shall not constitute an offer to sell or the solicitation of an offer to buy, nor shall there be any sale of the Company’s securities in any state in which such offer, solicitation or sale would be unlawful prior to the registration or qualification under the securities laws of any such state.
