ITEM 8.01 OTHER EVENTS.
On December 15, 2014, Endeavor IP, Inc., through its wholly owned subsidiary, Endeavor MeshTech, Inc. (“MeshTech”), entered into a license, settlement and release agreement (the “Settlement Agreement”) under its lawsuit against Leviton Manufacturing, Co., Inc. (“Leviton”). The Settlement Agreement addresses and resolve in full patent infringement lawsuit filed by MeshTech in the United States District Court for the District of Delaware, Civil Action No. 1:14-cv-01360, seeking damages for patent infringement of U.S. Patent No. 7,379,981 entitled “Wireless Communication Enable Meter and Network” as well as the U.S. Patent Nos. 8,700,749 and 8,855,019 by Leviton.
