Item 8.01. Other Events.

On January 7, 2015, International Rectifier Corporation issued a press release announcing that it expects closing of its pending merger with Infineon Technologies AG to occur on January 13, 2015.  The transaction remains subject to the satisfaction or waiver of other customary closing conditions contained in the merger agreement, and there is no assurance that the closing will occur on January 13, 2015.  A copy of the press release is attached hereto as Exhibit 99.1.
