Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On December 30, 2014, our Board of Directors named John Brda, our President, as Chief Executive Officer, replacing Thomas Lapinski. Concurrently, the Board appointed Mr. Lapinski as Chairman of the Board, and he will remain involved in our oil and gas activity.
Biographical information for Mr. Brda is below, which information was previously disclosed in our Definitive Proxy Statement on Schedule 14A filed on November 17, 2014.
John A. Brda – age 50 – Mr. Brda has served as our Chief Executive Officer since December 30, 2014. He has been our President and Secretary and a member of the Board of Director since January 2012. He has been the Managing Member of Brda & Company, LLC since 2002, which provided consulting services to public companies—with a focus in the oil and gas sector—on investor relations, equity and debt financings, strategic business development and securities regulation matters, prior to him becoming President of the company.
