Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On January 6, 2015, Green Dot Corporation (“Green Dot”) announced that it had appointed Kuan Archer as its Chief Operating Officer, effective January 1, 2015. In connection with his appointment, Mr. Archer’s annual base salary was increased to $440,000, effective January 1, 2015, and his on-target bonus amount for 2015 was set at $352,000. In addition, Mr. Archer received an award of 50,000 restricted stock units, subject to the standard terms and conditions of Green Dot’s form of restricted stock unit agreement.
Prior to his new appointment, Mr. Archer, 41, served as Chief Technology Officer and Executive Vice President of Product Development since joining Green Dot in October 2012. Prior to joining Green Dot, he served in a number of positions at Rovi Corporation, a digital media technology provider, from May 2006 to September 2012, most recently as Senior Vice President of Product Development. From September 2004 to April 2006, he served as Director at Symantec Corporation, a security, storage and systems management provider. Prior to his tenure at Symantec, Kuan held a number of software engineering and leadership roles at Microsoft Corporation in Redmond, Washington. Mr. Archer holds a B.S. in computer science from the University of Texas at Austin and an M.B.A. from the University of Washington.
