Change of Fiscal Year
On December 24, 2014, the board of directors of OPC Residential Properties Trust, Inc. (the “Company”) changed the Company’s fiscal year from a fiscal year ending December 31 of each year to a fiscal year ending March 31 of each year, with the Company’s first fiscal year to end on March 31, 2015.
Articles of Amendment and Restatement
On December 30, 2014, the Company filed Articles of Amendment and Restatement (the “Amended Articles”) with the State Department of Assessments and Taxation of Maryland. The Amended Articles amend and restate the Company’s Articles of Incorporation in their entirety. A copy of the Amended Articles are attached to this Form 8-K as Exhibit 3.1.
