Item 8.01. Other Events.
On December 30, 2014, Broadridge Financial Solutions, Inc., a Delaware corporation (“Broadridge” or the “Company”), and its wholly-owned subsidiary, Broadridge Securities Processing Solutions, Inc., a Delaware corporation, completed the acquisition of all of the issued and outstanding membership interests of TwoFour Systems LLC, a Delaware limited liability company (“TwoFour”) from TwoFour Holdings LLC, a Delaware limited liability company. TwoFour is a provider of real-time foreign exchange solutions for banks and broker-dealers. TwoFour is located in White Plains, New York.
