Item 7.01. Regulation FD Disclosure.

On December 30, 2014, Summit Materials, LLC (the “Company”) issued a notice of conditional partial redemption pursuant to the Indenture, dated as of January 30, 2012 (the “Indenture”), among the Company, Summit Materials Finance Corp. (together with the Company, the “Issuers”), the guarantors from time to time party thereto and Wilmington Trust, National Association, as trustee and paying agent, that the Issuers have elected to redeem (the “Make-Whole Redemption”), on February 2, 2015, $93,750,000 aggregate principal amount of their outstanding 10 12% Senior Notes due 2020 (the “Notes”), which equals 15% of the aggregate principal amount outstanding of such Notes, under the Indenture. The Make-Whole Redemption is in addition to the redemption described in the notice of conditional partial redemption issued on December 29, 2014 (the “Equity Redemption”). The Make-Whole Redemption is conditioned upon, among other things, the completion of the initial public offering of Summit Materials, Inc., which will be the indirect parent of the Issuers upon consummation of such initial public offering, and the completion of the Equity Redemption.

The redemption price with respect to the Notes redeemed pursuant to the Make-Whole Redemption will be equal to 100.000% of $93,750,000 aggregate principal amount of such Notes, plus an applicable premium, plus accrued and unpaid interest, if any, to the applicable date of redemption.
