On December 23, 2014, Larry Townes notified xG Technology, Inc. (the “Company”) that he would resign from his position as a member of the Company’s board of directors (the “Board”), effective December 31, 2014. Mr. Townes’ resignation was not as a result of any disagreements with the Company.

On December 24, 2014, the Company issued a press release announcing the resignation of Mr. Townes from the Board, a copy of which is attached to this Report as Exhibit 99.1.
