Item 5.03Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

 

(a) Effective December 22, 2014, the Board of Directors of Emerald Oil, Inc. (the “Company”) approved an amendment (the “Amendment”) to Section 8 of Article II of the Company’s Bylaws to provide that any action which could be taken at any annual or special meeting of stockholders of the Company may be taken without a meeting, without prior notice and without a vote, if a consent in writing setting forth the action so taken is signed by the holders of outstanding stock having not less than the minimum number of votes that would be necessary to authorize or take such action at a meeting at which all shares entitled to vote thereon were present and voted on. Previously, Section 8 of Article II of the Bylaws provided that any action that could be taken at an annual or special meeting of Company stockholders could only be taken without a meeting, without prior notice and without a vote if a consent in writing was signed by the holders of all the outstanding stock entitled to vote.
