Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On December 18, 2014, the Board of Directors ("Board") of the Federal Home Loan Bank of New York ("FHLBNY") approved, effective January 1, 2015, amendments to the Company's Bylaws at Article VIII, Section 1 intended to allow the Secretary to the Board to delegate his or her authority to attest to minutes to designees. The Board also approved amendments to the Bylaws reflecting a change in the name of the Board’s Corporate Governance Committee to the Board’s "Corporate Governance and External Affairs Committee". The descriptions of the Bylaw amendments contained herein are qualified in their entirety by reference to the full text of the Bylaws, as amended by the Bylaw amendments, a copy of which is attached to this Current Report on Form 8-K as Exhibit 3.1 and incorporated by reference herein.
