Item 7.01. Regulation FD Disclosure.
On December 22, 2014, Nuveen Investments issued a press release announcing, among other things, the combination of Dow 30SM Enhanced Premium & Income Fund Inc. and Dow 30SM Premium & Dividend Income Fund Inc. into a single new fund, Nuveen Dow 30SM Dynamic Overwrite Fund, managed by Nuveen Fund Advisors, LLC and sub-advised by Nuveen Asset Management, LLC. A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and incorporated herein by reference.
