Item 2.06. Material Impairments.

On December 15, 2014, Parkway Properties, Inc.'s (the “Company”) management concluded that a non-cash charge was required for the impairment of certain management contracts associated with Eola Capital LLC ("Eola") acquired as part of the Company's combination with Eola in 2011. The impairment relates to termination notices received with respect to certain of the Eola management and leasing agreements. As a result, the Company expects to record a pre-tax impairment charge of $4.0 million to $5.0 million in the fourth quarter ending December 31, 2014.
