Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On December 17, 2014, the board of governors of Highwater Ethanol, LLC (the "Board") appointed Michael J. Landuyt to fill a vacancy on the Board. Mr. Landuyt will serve for the unexpired term of his predecessor or until 2016. Mr. Landuyt is expected to be named to one or more committees of the Board. However, no determination has yet been made as to which committees he will be named.
