On December 15, 2014, the Board of Directors of Ikanos Communications, Inc. (the “Company”) extended the expiration date of the previously announced rights offering to 5:00 p.m. Eastern Time on January 30, 2015. This extension will allow stockholders who are entitled to participate in the rights offering (stockholders of record as of September 26, 2014) to review the Company’s fourth quarter 2014 earnings announcement prior to making their decision on participation in the rights offering.
On December 16, 2014, the Company announced that its fourth quarter fiscal year 2014 financial results conference call and webcast is scheduled for Thursday, January 22, 2015 at 1:30 p.m. Pacific Time.
A copy of the press release announcing the above actions is attached hereto as Exhibit 99.1 and incorporated by reference herein.
The rights offering will be made only by means of a prospectus filed with the Securities and Exchange Commission (“SEC”) as part of the registration statement related to the rights offering, which registration statement was declared effective by the SEC on November 26, 2014. This communication shall not constitute an offer to sell or solicitation of an offer to buy, nor shall there be any sale of these securities in any state in which such offer, solicitation or sale would be unlawful prior to registration or qualification under the securities laws of such state or jurisdiction.
