Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On December 10, 2014, Richard A. Karp, who has served as a member of the Board of Directors (the “Board”) of Novatel Wireless, Inc. (the “Company”) since April 2014, announced that he will resign from the Board effective as of December 17, 2014. Dr. Karp’s decision to tender his resignation was not the result of any disagreement with respect to the Company’s operations, policies or practices.
