Item 8.01 Other Events.

On December 12, 2014, the registrant announced that its Board of Directors has declared a quarterly cash dividend of twelve cents per share on the Company's Common Stock totaling approximately $486,373.80. The dividend is payable to shareholders of record as of January 30, 2015, payable on February 13, 2015.
