        On December 11, 2014, Mattress Firm Holding Corp., a Delaware corporation (the "Company"), issued a press release announcing the pricing of the public offering of 2,185,130 shares of common stock by certain of its stockholders pursuant to the Registration Statement on Form S-3 filed with the Securities and Exchange Commission on July 14, 2014.
