ITEM 8.01. OTHER EVENTS.

On December 10, 2014, the United States District Court for the Northern District of Illinois entered a favorable decision with respect to the status of The Bank of New York Mellon Corporation’s (“BNY Mellon”) $312 million secured loan to Sentinel Management Group, Inc. (“Sentinel”), an asset manager that filed for bankruptcy in 2007. As previously disclosed, as of September 30, 2014, BNY Mellon recorded the loan to Sentinel as a fully collateralized performing loan and accrued $28 million in interest on the reestablished loan. As a result of the favorable court decision, BNY Mellon expects that there will be no impact to its fourth quarter 2014 results of operations.
