Item 2.02 Results of Operations and Financial Condition.

On December 10, 2014, CHC Group Ltd. (the “Company”) will conduct a properly noticed conference call to discuss its results of operations for the second quarter of fiscal year 2015, which ended October 31, 2014 and to answer questions raised by the call’s participants. The conference call will be held on December 10, 2014 at 8 a.m. (Eastern Time) and can be accessed via www.chc.ca/presentations.
