ITEM 5.07SUBMISSION OF MATTERS TO A VOTE OF SECURITY HOLDERS

 

On December 4, 2014, Pericom Semiconductor Corporation (“Pericom” or the “Company”)  held its annual meeting of stockholders at which shareholders:

 

(a)   elected to the Board of Directors of Pericom six directors for a one year term and until their successors are elected,

 

(b)   approved the Company’s 2014 Stock Award and Incentive Compensation Plan,

 

(c)  

ratified the appointment of Burr Pilger Mayer, Inc. as the Company’s independent registered public accounting firm for the fiscal year ending in 2015,

 

(d)  

approved, in a non-binding advisory vote, the compensation of the executive officers as disclosed in the proxy statement.

 

 

The above proposals are described in detail in the Company’s Proxy Statement dated October 17, 2014. Voting results are as follows:
