Item 8.01 Other Events.

On December 5, 2014, Tim Hortons Inc. (“Tim Hortons”) and Burger King Worldwide, Inc. (“Burger King Worldwide”) issued a press release announcing receipt of approval by the Minister of Industry under the Investment Canada Act of the proposed transaction between Tim Hortons and Burger King Worldwide previously announced on August 26, 2014, that the transaction has received regulatory clearance under the Hart-Scott-Rodino Act (USA), the Competition Act (Canada) and the Canada Transportation Act and the election deadline for Tim Hortons shareholders and Burger King Worldwide stockholders to specify the type of consideration that they wish to receive in the merger is December 9, 2014 at 5:00 p.m. (EST).

The proposed transaction remains subject to certain conditions and approvals, including approval by shareholders of Tim Hortons, approval of the Ontario Superior Court of Justice (Commercial List) and customary closing conditions. A copy of the press release is attached as Exhibit 99.1.
