Item 8.01. Other Events.

 

On December 5, 2014 Business Development Corporation of America (the “Company”) withdrew its application for a license from the U.S. Small Business Administration (“SBA”) to operate an additional subsidiary as a small business investment company (“SBIC”).

 

On March 26, 2014, the Company announced the receipt of a green light letter from the SBA dated March 20, 2014 inviting the Company to continue its application process to obtain a license to form and operate a SBIC. The Company formally submitted an application to the SBA for a SBIC license on April 29, 2014 and the application was accepted for filing on April 30, 2014.

 

After discussions with the SBA, the Company elected to withdraw its application. The Company intends to re-file its application at a future date that is within 18 months from the date of the green light letter as permitted under the terms of that letter.
