ITEM 8.01. OTHER EVENTS.

On July 29, 2014, the Board of Directors of Medallion Financial Corp. (the “Company”) authorized management to repurchase up to $20,000,000 of the Company’s common stock pursuant to its previously authorized stock repurchase program. On December 1, 2014, the Company purchased a total of 60,396 shares of common stock at a cost of $567,747, or $9.40 per share. As of December 1, 2014, $18,163,201 remains available for future stock repurchases. As of December 1, 2014, a total of 1,763,088 shares have been repurchased since the inception of all stock repurchase programs at a cost of $15,812,203, for an average cost of $8.97 per share.
