Item 7.01 Regulation FD Disclosure
On November 26, 2014, the Company’s Board of Directors approved an amendment to the Company’s Code of Business Conduct to include a “trading window” that requires all directors and officers and those certain identified employees of the Company to refrain from conducting transactions involving the purchase or sale of the Company's securities other than through a validly established 10b5-1 plan, and during the period (the "trading window") commencing at the open of market on the third trading day following the date of public disclosure of the financial results for a particular fiscal quarter or year and continuing until the close of market on the 10th trading day after the Trading Window was opened.
A copy of the Amended Code of Business Conduct is attached as Exhibit 99.1.
