Item 8.01. Other Events.
On November 26, 2014, Jeffrey A. Citron, Chairman and Founder of Vonage Holdings Corp. (the "Company"), terminated his existing 10b5-1 pre-arranged stock trading plan, which was adopted on May 9, 2013 in accordance with the guidelines specified under Rule 10b5-1 of the Securities Exchange Act of 1934. The termination was in accordance with the terms and conditions of the plan.
