Item 1.01. Entry into a Material Definitive Agreement.
On November 20, 2014, Supertel Hospitality, Inc. entered into a Twelfth Amendment to Amended and Restated Loan Agreement with Great Western Bank. The Twelfth Amendment modifies the maximum consolidated leverage ratio covenant in the loan agreement from 4.25:1 to 3.50:1 and excludes certain non-cash derivative liabilities from future calculations of such covenant.
This description of the Twelfth Amendment is qualified in its entirety by reference to the Twelfth Amendment attached to this report as Exhibit 10.1 and incorporated herein by reference.
